The Electric Vehicle Giant Shareholders to Cast Their Ballots on Mammoth $1 Trillion Pay Package for CEO Elon Musk

Tesla shareholders assembled this Thursday to vote on a massive pay deal for the company's leader worth approximately around $1 trillion. Upon approval, this package would demonstrate investor confidence that the tech magnate can guide the car company into an period dominated by artificial intelligence and advanced machinery. If rejected, Tesla could risk the departure of a key figure who once made the company name interchangeable with electric vehicles.

Record-Breaking Goals and Market Capitalization

Upon reaching the lofty objectives detailed in the compensation plan introduced at Tesla's corporate assembly, he could be crowned the pioneering trillionaire. To reach this goal, he must steer Tesla to a monumental $8.5 trillion in market value, which is an eightfold increase its current valuation. Furthermore, he will be obligated to deploy countless driverless automobiles and bipedal machines, while upholding the financial performance in the hundreds of billions in the upcoming decade.

Compensation Structure

The main goals of the remuneration structure, divided into a dozen phases, chart a trajectory for Tesla to attain its massive valuation. If successful, Musk would be eligible to cash in an additional 12% of the corporation's shares. To be eligible, he must maintain involvement with the firm for no less than 7.5 years. Additionally, he must contribute to forming a corporate transition roadmap for the organization he has managed for more than 20 years. The share grants provided by the new compensation plan, combined with shares assured in his previous compensation plan, would leave Musk with 25% ownership of Tesla's shares. As of early November, Tesla shares were valued close to its yearly maximum, at around $450 each share.

Ambitious Targets

During a ten-year period, Musk will be obligated to manufacture 20 million zero-emission cars to buyers, sell 10 million active full self-driving subscriptions, create and distribute 1 million advanced androids, and introduce 1 million self-driving cabs in revenue-generating use.

Musk will furthermore be required to bring the company to $400 billion in real profits for four straight quarters. Tesla's real profits for the third quarter of 2025 were $4.2 billion, 9 percent lower from the year before.

As of November, Musk's fortune was estimated at $460 billion, the highest in the world, as reported by market tracking.

Restoring a Revoked Plan

Shareholders are furthermore considering a proposal that would reward Musk after his 2018 compensation plan was overturned by a court in Delaware. The remuneration deal, worth an estimated $56 billion, was challenged by a individual investor who prevailed in court. The Delaware court of chancery dismissed Musk's pay package twice. Upon stockholder approval the arrangement in Thursday's vote, Musk is set to be awarded the massive amount regardless of if Tesla and Musk succeed in appealing of the lawsuit.

After Musk's previous compensation plan was first rescinded, he moved Tesla's business registration from Delaware to Texas. He repeated the action with SpaceX and additional corporate bases. In 2024, under Texas law, shareholders once again passed the pay package.

But Delaware's often referred to as "equity court" once again denied one of the biggest CEO pay deals in recent times. In the wake of that negative decision, Musk took to social media to express dissatisfaction with the jurisdiction and its "activist chief judge", perhaps fueling a wave of business departures that Delaware legislators have tried to stop with regulatory measures.

In considering whether Musk had excessive control in being awarded that 2018 pay package, a noted academic expert remarked that the judicial authority recognized that other "celebrity leaders" like the Meta chief and the e-commerce pioneer were not granted this sort of incentive-based contracts.
